Situation end of 2007

• A recognized brand name and a position in the Leaders Quadrant in Gartner’s, “Magic Quadrant for the Integrated Document Archive and Retrieval Systems”, (IDARS).
• A prestigious and solid customer base with more than 1,200 organizations worldwide, including a majority of the Fortune 500.
• Solid recurring sales of MCHF 20 and over 100 employees in Geneva, London and New-York.

BUT

• No growth realized for several years.
• A founder/CEO looking for a succession solution but trying to avoid the threat of an acquisition by a competitor which would have implied relocation of the development teams away from Geneva.

Vinci Capital contribution

• Acquisition in December 2007 of 90% of the company with a co-investor.  The founder remains a shareholder and the president of the board.
• Hiring of a new management team including a new world-class CEO, Pierre Van Beneden, formerly Vice-President EMEA of Adobe.
• Definition of a new strategy to re-initiate growth.
